MBG Submits Letter of Intent to Acquire RNDC’s Indiana Distribution Operations

Proposed transaction would expand MBG's distribution footprint to six states and deepen its presence in Indiana

INDIANAPOLIS, IN, UNITED STATES, August 28, 2026 /EINPresswire.com/ -- MBG, a subsidiary of Morales Capital Group LLC (“Morales Capital Group”), today announced that it has submitted a letter of intent to acquire substantially all of the assets of Republic National Distributing Company of Indiana, LLC (“RNDC Indiana”), a joint venture between Republic National Distributing Company, LLC (“RNDC”) and National Wine & Spirits (NWS), and the parties are proceeding to prepare and finalize definitive transaction agreements as soon as practicable. The proposed acquisition would expand MBG's distribution footprint to six states, extending its reach in one of the most competitive markets in American beverage distribution.

Under the terms contemplated in the letter of intent, if the potential transaction is consummated, MBG would acquire RNDC Indiana's beverage assets and operations, continuing the business' supplier and customer relationships across the state.

The proposed transaction remains subject to negotiation of definitive documentation, customary regulatory approvals and closing conditions, and approval by the U.S. Bankruptcy Court for the Southern District of Texas in light of RNDC's ongoing Chapter 11 process. RNDC, RNDC Indiana and NWS continue to operate in the ordinary course while they progress the potential sale transaction involving their Indiana operations.

The parties are targeting execution of a definitive purchase agreement in the near term, with closing expected in the fourth quarter of 2026, subject to Bankruptcy Court approval and other customary closing conditions. Both parties intend to remain focused on supporting employees, customers and suppliers throughout the process.
